Terms of Service

Please read these terms carefully before using the Summit Subleasing Portal.

Important Legal Agreement

By accessing or using the Summit Subleasing Portal, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use our Service.

1. Introduction and Acceptance

These Terms of Service ("Terms") govern your use of the Summit Subleasing Portal ("Service") operated by Summit Management ("we," "us," or "our"). The Service is designed to facilitate the sublease process for properties managed by Summit Management located in Duluth, Minnesota.

By creating an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. These Terms apply to all users of the Service, including:

  • Current residents seeking to sublease their units
  • Future residents applying to take over leases
  • Summit Management staff and managers

2. Service Description

The Summit Subleasing Portal is an organizational and communication platform that works alongside our existing property management systems (Yardi and RentCafe). The Service provides:

Process Management

  • • Sequential workflow tracking
  • • Status updates and notifications
  • • Document organization
  • • Processing time estimates

Communication Tools

  • • Messaging between parties
  • • Email notifications
  • • Status dashboards
  • • Application tracking

Note: This Service supplements but does not replace Summit Management's primary systems. Staff will continue to process official records through Yardi and RentCafe.

3. User Accounts and Responsibilities

Account Registration

When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information as needed
  • Keep your login credentials secure and confidential
  • Notify us immediately of any unauthorized access

User Types and Permissions

Current Residents

Can initiate sublease requests, invite future residents, and track their application status

Future Residents

Can complete applications, submit documents, and communicate with staff

Staff & Managers

Can process applications, update statuses, and manage the sublease workflow

4. Sequential Process Rules

The sublease process follows a strict sequential workflow. By using the Service, you acknowledge and agree that:

    Each step must be completed in the exact order specified by the system
  • 2
    You cannot skip steps or proceed without required validations
  • 3
    Completed steps are locked and cannot be modified
  • 4
    Only authorized staff can override process requirements

5. Future Resident Invitation Restrictions

Important Limitation

Current residents can invite only ONE future resident at a time. This restriction cannot be circumvented and is strictly enforced by the system.

By inviting a future resident, you understand and agree that:

  • Once the future resident completes registration, you CANNOT change, remove, or replace them
  • Only Summit Management staff can make changes if absolutely necessary
  • You must carefully verify the future resident's information before sending the invitation

6. Fees and Payments

Required Fees

Current Residents

$400

Sublease processing fee (non-refundable)

Future Residents

Application Fee + Security Deposit

Amounts vary by unit type

Payment Processing: All payments are processed through Summit Management's existing payment systems. We do not store payment information on this platform.

No Processing Without Payment: No sublease application will be processed until all required fees are paid in full.

Refund Policy: The $400 sublease fee is non-refundable once processing begins, regardless of the outcome of your sublease request.

7. Processing Times and Service Levels

Processing times displayed in the Service are estimates based on typical business operations:

Standard Processing Times (Business Days)

• Fee posting: 1 business day
• Payment verification: 1-2 business days
• Application review: 1 business day
• Background check: 2-4 business days
• Lease preparation: 1 business day
• Move-in preparation: 3 business days

Disclaimer: Summit Management makes reasonable efforts to meet these timeframes but does not guarantee processing within the stated times. Delays may occur due to incomplete applications, high volume periods, holidays, or other factors beyond our control.

8. Acceptable Use Policy

You agree not to use the Service to:

Provide false, misleading, or fraudulent information
Attempt to circumvent the sequential process requirements
Harass, threaten, or abuse other users or staff
Access or attempt to access another user's account
Use automated systems or bots to interact with the Service
Violate any applicable laws or regulations

9. Disclaimers and Limitation of Liability

Service Availability

The Service is provided "as is" and "as available" without warranties of any kind. We do not guarantee uninterrupted or error-free operation of the Service.

Limitation of Liability

To the maximum extent permitted by law, Summit Management and its affiliates shall not be liable for:

  • • Any indirect, incidental, special, or consequential damages
  • • Loss of profits, data, or business opportunities
  • • Service interruptions or delays in processing
  • • Actions or omissions of other users

Total Liability Cap: Our total liability to you for all claims arising from or related to the Service shall not exceed the amount of fees you have paid to us in the past twelve (12) months.

10. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by Summit Management and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose. This license does not include any right to resell, copy, or redistribute any part of the Service.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

  • • Breach of these Terms
  • • Violation of our Acceptable Use Policy
  • • Fraudulent or illegal activity
  • • At our sole discretion for any reason

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive.

12. Governing Law and Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions.

Jurisdiction: Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in St. Louis County, Minnesota.

Informal Resolution: Before filing a claim, each party agrees to try to resolve the dispute informally by contacting the other party.

13. Changes to These Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes, we will provide notice through the Service or by other means.

Your continued use of the Service after any changes constitutes acceptance of the new Terms. If you do not agree to the new terms, you must stop using the Service.

14. General Provisions

Entire Agreement

These Terms constitute the entire agreement between you and Summit Management regarding the Service.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights under these Terms without restriction.
